EXPERIENCE
Before joining the firm in April 2010, Revaz served as an independent consultant to large local and foreign companies for several years and advised on business development, M&A and business brokerage matters. During this period, he successfully carried out several real estate and telecom projects.
From 2004-06, Revaz was in the government service. He served as the Deputy CEO at Millennium Challenge Georgia Fund where, on behalf of the Georgian Government, he participated in drafting, negotiating and signing USD 300 million Compact and its Supplement Agreements, international agreements of Georgia, with the US Millennium Challenge Corporation. In parallel, he also served as the Deputy Chairman of Supervisory Board of United Telecom Georgia, the largest fixed line operator in Georgia. Before the aforementioned positions, Revaz served as legal and investment advisor to the Prime Minister of Georgia.
Before work at the Prime Minister’s Office, from year 2000, Revaz worked for an international law firm of Baker & McKenzie CIS Ltd. for more than three years based in Baku and Moscow. Prior to joining Baker & McKenzie, he was an in-house lawyer for the Georgian International Oil Corporation.
Revaz’s main areas of expertise are in energy, subsoil, FMCG, general corporate and commercial, infrastructure, IP, and employment. Revaz is currently based in UAE focusing on the firm’s business development efforts and coordinating the development of the firm’s Caucasus practice.
REPRESENTATIVE EXPERIENCE
Revaz’s previous representative experience includes:
- Advising one of the largest Russian diversified energy holding companies on corporate, privatization and regulatory matters;
- Advised a multinational American energy company, on the first major privatization in Georgia, the privatization of 75% of the shares of the electricity distribution company serving the capital city of Tbilisi;
- Advised on the privatization of 600 MW power generation assets and obtaining the rights to import gas and electricity and the rights to export electricity to Turkey; Further, advised on a 25-year concession over certain hydropower facilities; Finally, Advised on the sale of all the aforementioned assets to one of the largest Russian energy companies;
- Advised major American energy company on the acquisition of the Tbilisi municipal gas distribution company;
- Advised Russian energy giant on the formation of a joint venture in Georgia;
- Advised on a development agreement for the exploration of oil and gas in a Georgian field;
- Drafted, negotiated, but not finalized the acquisition of 75% of the shares in the Rustavi city electricity distribution company;
- Conducted preliminary due diligence in connection with the construction of an oil terminal in port of Poti;
- Advised an international finance institution on the structuring of a proposed consolidation of eight power distribution companies into one company and subsequent privatization of the company.

- Advising one of the largest American multinational consumer products company on general commercial/contracts and competition law matters;
- Advised a large UAE group on share purchase in a Georgian company, as well as general corporate and security registration matters;
- Advised one of the major cosmetics’ products manufacturer on its dispute with the Georgian distributor;
- Advised large computers and electronics goods manufacturer on repayment (recovery) of the debt;
- Advised an Indian pharmaceuticals company on certain corporate, commercial, employment matters, and re-registration of intellectual property rights to certain medicines due to sale of its business;
- Advised a Russian dairy products manufacturer on corporate, commercial, food certification and safety, employment, tax and customs matters;
- Advised a US military products manufacturer on international sales representative agreement;
- Advised a large US beauty products and pet nutrition products manufacturer on competition matters;
- Advised one of the world’s largest multinational consumer goods manufacturer on advertising, customs, intellectual property registration and protection matters;
- Advised a large Russian company on anti-corruption legislation;
- Advised a UK fashionable clothes manufacturer on registration of its trademarks and the development and supply franchise agreement;
- Advised one of the world’s largest health care and pharmaceuticals products manufacturer on pharmaceuticals regulation;
- Advised one of the largest online foreign exchange trading companies on brokerage services and compliance of its international financial markets agreements with applicable local regulations;
- Advised a large global advertising production company on advertising regulations;
- Advised one of the world’s largest financial services and communications company on escheatment matters;
- Advised one of the world’s largest multinational communications and information technology corporation on warrantee matters;
- Advised one of the world’s largest multinational mobile phone manufacturing company on warrantee matters;
- Advised a European company on competition matters due to formation a joint venture with a Russian entity;
- Advised one of the largest US diversified hospitality company on employment matters;
- Advised a UK-based client on requirements affecting marital agreements under Georgian law;
- Advised a UK-based international development company on corporate and tax matters;
- Advised one of the major US multinational automotive corporation on requirements for integration of certain information in advertisement materials and on certain aspects of the current content of its Georgian website;
- Advised one of the popular online tickets reservation companies on certain service agreements;
Advised a consortium of international oil and gas companies on account pledge agreement, transfer/registration of security interest, and related filing and
- regulatory matters;
- Advised a US company on international franchise agreement and general franchise matters;
- Undertaken a fairly large amount of general corporate work and advised several banks on the ability to take security in Georgia.
